          This Amendment No. 9 to Schedule 13D (“Amendment No. 8”) relating to Nobel Learning Communities, Inc., a Delaware corporation (the “Company”), is being filed on behalf of the undersigned to amend the Schedule 13D filed with the Securities Exchange Commission (the “Commission”) on January 14, 1998, as amended by Amendment No. 1 thereto filed with the Commission on June 2, 1998, Amendment No. 2 thereto filed with the Commission on November 10, 1999, Amendment No. 3 thereto filed with the Commission on December 31, 2002, Amendment No. 4 thereto filed with the Commission on March 14, 2003, Amendment No. 5 thereto filed with the Commission on May 28, 2003, Amendment No. 6 thereto filed with the Commission on September 10, 2003, Amendment No. 7 thereto filed with the Commission on February 23, 2004 and Amendment No. 8 thereto filed with the Commission on April 3, 2006 (together, the “Schedule 13D”). Capitalized terms used and not defined herein have the same meaning as in the Schedule 13D.
          Except as specifically provided herein, this Amendment No. 9 does not modify any of the information previously reported on the Schedule 13D. Capitalized terms used herein but not otherwise defined herein shall have the meanings ascribed to them in the Schedule 13D.
Item 3. Source and Amount of Funds or Other Consideration.
          On June 27, 2006, Blesbok exercised the Warrant, purchasing 585,803 shares of the Company’s Common Stock for an aggregate exercise price of $3,639,097. At the time of exercise, both the number of shares and aggregate exercise price reflected adjustments applied pursuant to the terms of the Warrant. The funds for the purchase of Common Stock in connection with the exercise of the Warrant were provided to Blesbok by its members, Michael R. Milken and Lowell J. Milken.
Item 4. Purpose of the Transaction.
          The Warrant expires on June 30, 2006. Blesbok is exercising its right to purchase Common Stock under the Warrant prior to the expiration of such right.
Item 5. Interest in Securities of the Issuer.
          The information in Item 5 is hereby amended and supplemented by adding the following thereto:
          Blesbok may be deemed to beneficially own an aggregate of 923,066 shares of Common Stock, 585,803 as the result of this transaction and 337,263 which it has the right to acquire upon conversion of the Series F Preferred Stock, representing approximately 12.3% of the outstanding shares of Common Stock, based on 7,506,973 shares of Common Stock outstanding as of May 8, 2006, as reported in the Company’s Quarterly Report on Form 10-Q filed with the Commission on May 12, 2006.
          As the managing members of Blesbok, Michael R. Milken and Lowell J. Milken may be deemed to share the powers of voting and disposition of the shares of Common Stock beneficially owned by Blesbok (and other entities as described in the Schedule 13D). As such, Michael R. Milken and Lowell J. Milken may be deemed to beneficially own an aggregate of 2,806,566 shares of Common Stock, representing approximately 37.4% of the outstanding shares of Common Stock, based on 7,506,973 shares of Common Stock outstanding as of May 8, 2006, as reported in the Company’s Quarterly Report on Form 10-Q filed with the Commission on May 12, 2006.
          Blesbok also owns an aggregate of 1,063,830 shares of the Series D Preferred Stock, which are not convertible into Common Stock.
          All references herein to the Series F Preferred Stock include payment in kind dividends from original issuance through March 31, 2006.

          Except as described in this Amendment No. 9, the Reporting Persons have not effected transactions in the Common Stock of the Company during the past 60 days.
